Vendor Centric "True-Up" Reviews

Many enterprise level software license agreements, such as Microsoft’s Enterprise Agreement (EA), include provisions for a periodic (usually annual) “true-up”. Those agreements allow the customer to add additional copies of the licensed products as needed to accommodate growth. At the end of each period the customer must complete a “true-up” reporting the actual number of copies of the licensed product in use at the time of the true-up. The EA is then adjusted to reflect the new number of copies and a payment is made for the additional copies.
